Constitution

 

 

Article I – Name

 

The name of this non-profit organization is the Dutchtown High School Band booster Association (referred to as the “Association” within this document).

 

Article II – Objectives

 

          The objectives of the DTHS Band Boosters are:

 

Section 1.  To promote and maintain an enthusiastic interest in the various components of the DTHS Instrumental Music Department.

 

Section 2.  To build and maintain a volunteer booster organization whose goal is to support and promote all phases and activities of the DTHS Instrumental Music Department under the guidance of the DTHS Band Director.

 

Section 3.  To work with the staff of the DTHS Instrumental Music Department, DTHS School Administration, and Ascension Parish School Board to enable this Department to achieve and maintain the highest possible degree of efficiency.

 

Section 4.  To organize and participate in fundraisers to provide monetary support to the DTHS Instrumental Music Department for projects and/or activities.

 

 

 

Section 5.  The Association shall strive to create and promote a positive and safe environment for all students involved in the DTHS Instrumental Music Department under the guidelines of the Ascension Parish School Board and any State or Federal Law.

 

 

Article III – Membership

 

Section 1.  The fiscal year for the year for the organization is June 1st through May 31st.

 

Section 2.  The membership of this organization shall not be limited.  Anyone interested in becoming involved in achieving the objectives of the organization shall be eligible to join, without regard to race, color or creed.  All Parents and Guardians of any student enrolled in a course in the Instrumental Music Department shall automatically become a member of the Association.

 

Section 3.  Annual dues shall be an amount specified and approved by the executive committee and may be amended by a majority vote for the next school year. 

 

Article IV – Meetings

 

Section 1.  Regular Business Meetings shall be held on the second Thursday of each month.  These meetings shall be conducted at the DTHS Band Room at times scheduled by the executive committee.

 

Section 2.  The Executive Committee may designate an alternate place/time.  In the later case, members shall be notified in advance of such change.

 

Section 3.  Special meetings may be called by the President as deemed necessary.

 

Section 4.  The Executive Committee shall meet prior to the regularly scheduled monthly meetings for the purpose of creating an agenda.  Any member wishing to place an item on the agenda must notify an Executive Committee Member/DTHS Band Director to the regularly scheduled monthly meeting.

 

Section 5.  Meetings shall be governed with the procedures set forth in these By-Laws.  If not covered in these By-Laws, “Robert’s Rules of Order” shall prevail.

 

Article V – Officers

 

Section 1.  The officers of the organization shall be as follows:

 

          Presidents (elected)

          Vice-President (elected)

          Secretary (Appointed)

          Treasurer (Appointed)

          Public Relations Vice-President (elected)

          Trustee (Elected)

          Trustee (Elected)

 

Section 2.  Officers shall be elected to One-year terms, but cannot serve more than three consecutive terms in the same office and will receive no compensation from the Association.

 

Section 3.  Appointed officers terms are for one year and may receive a stipend as approved by the executive committee and general membership.

 

Section 4.  The elected officers  of President and Vice-President must be a parent or guardian of a student enrolled in the Instrumental Music Program at DTHS.

 

Section 4.  Nominations and elections for office for the school year shall be conducted in the month of April for the upcoming school year.  Terms of all offices are from June 1 to May 31.

 

Article VI – Committees

 

Section 1.  The President and/or DTHS Band Director may appoint special committees to accomplish the objectives of the  Association.

 

Section 2.  Committee Chairmen will be appointed by the President and approved by the Executive Committee.

 

 

Article VII - Amendments

 

Section 1.  The Constitution and By-laws may be amended by a two- thirds majority vote of the members present at any regular meeting.

 

Section 2.  The amendments must have been presented at the preceding regular meeting of the organization and the membership notified of the changes, the place, date and time of the vote.

 

Section 3.  Members shall receive mailed notification concerning proposed changes to these By-Laws prior to the meeting during which such action is to be taken.

 

Article VIII – Finance

 

Section 1.  The Treasurer of the Association or designee shall present a financial statement at the initial meeting of the school year and at each meeting thereafter.

 

Section 2.  All checks, drafts, notes of the Dutchtown School Band Booster Club shall be signed by the DTHS Principal and Selected Executive Committee Member.

 

Article IX – Quorum

 

Section 1.  Ten members shall constitute a quorum for the purpose of conducting meetings, at which one director must be present.  Special meetings of the Board may be called by the President, Band Director, or by majority of the members of the Executive Board at any time.

 

Section 2.  Election of an officer shall require a vote of a least fifty-one percent of the votes received from the general membership of the  Association.

 

Article X – Ownership

 

Section 1.  The Dutchtown High School Band Booster Association is a nonprofit organization created solely for the objectives stated above.  No officer or member, past or present, shall at any time have claim against the Association nor any interest in any funds, equipment or property that has been or may have been acquired by the club.

 

Section 2.  Any funds, property, or equipment acquired by the Association for the band department shall become property of the Ascension Parish School Band.  In the event that the Association should be dissolved or cease to function at any time, all accumulated funds, equipment, and property shall be turned over to Dutchtown High School subject to the condition that they be used for the purpose for which they were acquired.

BY-LAWS

 

 

Article I – Duties of Officers

 

Section 1.  The President shall preside over meetings of the organization.  The President and/or Director(s) shall appoint all Committees.  The President shall be an ex-officio member of all committees.

 

Section 2.  The Vice-President shall assume all duties of the President in his/her absence.

 

Section 3.  The Secretary attend to correspondence and record keeping for the Association and assist the Band Director as needed in similar functions to achieve the goals of the DTHS Band Department.

Section 4.  The treasurer shall receive all funds due the organization, deposit said funds with a federally insured banking institution, and make only approved disbursements directed by the organization.  The Treasurer shall keep and maintain a monthly financial report and present said report at the regular meeting of the organization.  All disbursement checks must be signed by one of the Principals of DTHS and an elected Executive Committee member.

 

Section 5.   The Public Relations Vice-President shall coordinate/publish public announcements of association functions/activities in the local media, record club and band activities, and organize a DTHS Band Department scrapbook.   This officer will also be responsible for recording and retaining the minutes of all association meetings. 

 

Section 6.  The Trustees shall assist the executive committee as requested.  These positions are in place to assure orderly continuance of the executive committee.

 

 

Article II – Executive Board

 

Section 1.  The Executive Board shall be composed of the officers of the organization, Band Director, and the Color Guard Parent Representative.

 

Section 2.  The Executive Board shall have general management of the affairs of the organization, and the authority to spend not more than $2,500 of the organization’s funds outside of a monthly meeting.

 

Section 3.  The disbursement of funds under Section 2 shall require a majority approval of the entire Executive Committee.

 

Section 4.  Expenditures of less than 10% of the budgeted allotment for each budget item can be made with the President and Treasurer’s approval.

 

Article III – Election of Officers

 

Section 1.  A Nominating Committee consisting of one member of the Executive Board and two members from the general membership shall be appointed by the President at the February meeting.  The Past President, if available, shall act as Chairman with no vote.

 

Section 2.  Nominations will be made by the committee, as well as the general membership, at the March meeting.  Final officer nominations will be announced at the April meeting.

 

Section 3.  Officers are to be elected by vote of the general membership at the May meeting.

 

Section 4.  An elected officer’s position, which becomes vacant, shall be filled by an appointment of the Executive Board.  The appointee will serve the unexpired term.

 

Article IV – Fundraisers and Project Expenditures

 

Section 1.  Approval will be obtained by the organization from the School Administrator for fundraisers to be scheduled where students are involved.

 

Section 2.  No expenditures by the organization for capital improvements to the physical plant of DTHS shall be authorized until first approved by the School Administrator, who may at his discretion, also require approval by the School Board.

 

 

Article V – Budget

 

Section 1.  A Finance Committee will be appointed by the President(s)/Director(s) to develop an annual budget.

 

Section 2.  The budget may be changed by the financial committee and executive board.

 

Section 3.  A yearly budget and financial report shall be submitted to the general membership at the Booster Association’s first general membership meeting of the school year.
